Daycare Terms & Conditions

1. Definitions
Center: The childcare service provider utilizing the platform to communicate with clients and offer services.
Client: The parent or legal guardian booking the Center’s services through the application integrated with the platform.
Dependents: The children registered by Clients to benefit from the Center’s services.
2. Purpose of the Agreement
This Agreement sets forth the terms and conditions under which Daycare Information Technology Company provides a Software-as-a-Service (SaaS) platform for managing childcare centers and nurseries, including the mobile application named “Staff App.” The Center shall provide childcare services to Clients in accordance with this Agreement.
3. Scope of Services
The service provider shall offer the Center an integrated electronic platform that facilitates electronic contracting between the Center and Clients, as well as the management of bookings, subscriptions, payments, custom payments, and communication between Clients and the Center.
4. Term of Agreement
This Agreement commences on the subscription date and remains in effect until the expiration of the selected subscription plan. Subscription termination does not entitle the Center to any refund of paid amounts. Services shall remain active until the end of the subscription term.
5. Fees and Payment Terms
5.1 Subscription Packages
The Center shall pay the subscription fee to the Service Provider upon selecting one of the two packages listed below. The Service Provider reserves the right to add new subscription packages or modify the subscription fees based on annual conditions, market fluctuations, expansion plans, the introduction of new services, or other similar factors. The Service Provider is obligated to notify the Center in advance of any changes to subscription fees or available services.
Economic Package (Freemium):
- The Center shall pay SAR 0.10 per month for access to the platform’s services and for creating its profile.
- The Center shall pay an administrative fee of SAR 20 in the following cases:
- When adding a child electronically to benefit from the platform’s services.
- When adding a child manually and completing payment outside the platform via cash or point-of-sale (POS) systems. The fee shall be charged on a pro-rata basis in the following month.
Pro Package (Premium):
The Center shall pay SAR 3,799 annually to the Service Provider for platform subscription, allowing unlimited child enrolments. This fee includes access to all platform and application services.
5.2 Custom Fees
The Center shall bear a 2.5% fee on every payment transaction processed through the custom invoicing service provided by the Service Provider (this does not include daycare plans and summer campaigns).
5.3 Refund Policy
If the Center activates the refund option, the Service Provider shall be responsible for covering the refund amount on behalf of the Center and shall issue an invoice at the end of the month for payment by the Center. In the event that the Center fails to settle the outstanding refund amount, the Service Provider shall have the right to deduct all pending amounts from any subsequent financial transaction.
6. Service Provider’s Responsibilities
*Listing the Center within the childcare provider directory for the duration of the selected subscription plan.
*Providing the electronic platform and mobile application, ensuring the availability of agreed-upon services.
*Offering technical support as per agreed standards.
*Updating and enhancing the system to ensure its efficiency and security.
*Clearly specifying the pricing of core and additional services on the platform, ensuring that all financial transactions occur through the platform to maintain transparency.
7. Center’s Responsibilities
Providing all required information and supporting documents to enable the Service Provider to list the Center on the platform.
Ensuring that all service descriptions and facility details provided on the platform are accurate and truthful.
Using the platform to manage its operations and interact with Clients for as long as the subscription remains active.
Paying the subscription fees according to the selected plan.
8. Rights
The Service Provider reserves the right to terminate this Agreement and remove the Center from the directory if the Center provides false information, fails to use the platform for service provision, or engages in misconduct toward Clients. No refunds shall be issued in such cases.
In case of a breach of this Agreement, the Center shall compensate the Service Provider with an amount of SAR 1,000.
9. General Rules and Guidelines
*The Center shall not misuse the platform.
*The Center must comply with all regulatory policies outlined in the Terms of Agreement.
10. Liability
The Center bears full legal responsibility for the accuracy of the information and supporting documents provided.
The Service Provider shall not be liable for any direct or indirect damages resulting from the use of the platform or services provided by the Center.
The Service Provider shall not be responsible for technical failures beyond its control.
The Service Provider shall not be liable for the handover of children to their parents or authorized individuals.
The Service Provider shall not be responsible for any third-party applications impersonating or replicating its services.
11. Dispute Resolution
Any disputes arising from this Agreement shall be resolved by the competent commercial court in the relevant jurisdiction.
12. Force Majeure
Neither party shall be held liable for any delay or failure to fulfill its obligations under this Agreement due to force majeure, exceptional circumstances, or factors beyond their control.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia or the relevant jurisdiction.
14. Amendments
The Service Provider reserves the right to amend the terms of this Agreement in compliance with local laws. The Center shall be notified of any material changes.
15. Confidentiality
*The platform is the intellectual property of the Service Provider, and the Center is prohibited from modifying, copying, or sharing it with third parties.
*Both parties agree not to disclose or use sensitive data related to Clients or financial transactions outside the scope of this Agreement without prior written consent.
*In the event of a confidentiality breach, the Service Provider must be notified immediately to take appropriate action.
